Preparing an application for M&A Support Institution registration

Shingihou Co., Ltd. is preparing to apply to Japan’s M&A Support Institution Registration System. We are not currently a registered M&A support institution, and this site does not indicate certification or endorsement by the Small and Medium Enterprise Agency or any other public authority.

OUR POSITION

Single-party FA dedicated to either the buyer or transferor

We enter into an FA agreement with either the transferor or transferee. We do not act as an intermediary for both parties in the same transaction and do not receive compensation from the other party. We respect our client’s intentions and manage conflict-of-interest risk.

  • In the same transaction, we contract with only the buyer or transferor and receive no fee from the other party.
  • We identify potential conflicts, disclose them when found, and discuss an appropriate response with the client.
  • We do not disclose the client’s name or detailed information to a candidate without the client’s consent.

Scope of support

Initial assessment and case organization

We organize succession options, desired terms, and the proposed process and identify the scope of support and areas requiring outside professionals.

Information preparation and anonymous profile

We confirm the disclosure scope and prepare the non-name summary and case materials used for initial candidate discussions.

Candidate development and basic review

We identify and approach candidates and perform basic checks on business operations, financial condition, and compliance.

Negotiation and project management

We coordinate communications and progress through NDAs, meetings, Q&A, LOI, DD, the final agreement, and closing.

Cross-border communication

We support candidate communication, document review, and meeting coordination in Japanese, Chinese, and English.

PMI support

We organize initial post-closing integration tasks, including communications, operational transition, and stakeholder explanations.

PROFESSIONAL BOUNDARIES

Services we do not provide

  • Legal opinions, legal determinations, or legal review of the final agreement
  • Tax determinations, tax filings, or financial audits
  • Formal enterprise valuation or formal share-price appraisal reports
  • Registrations, permits, or other administrative procedures
  • Diagnosis, treatment decisions, or other medical judgment

Where necessary, we divide responsibilities with attorneys, tax accountants or CPAs, judicial scriveners, administrative scriveners, and other outside professionals.

CONFIDENTIALITY & CONFLICTS

Confidentiality and conflicts

We handle pre-contract consultation information carefully and receive materials only after confirming confidentiality and the disclosure scope.

A client’s name is generally disclosed to each candidate only after an NDA is signed and the client gives candidate-specific consent.

If a relationship involving us, an affiliate, an outside professional, or a candidate creates a potential conflict, we disclose it and discuss a response, including declining the engagement.

Subsidy notice

We do not guarantee selection for a subsidy, payment of a subsidy, or recognition of our fees as eligible expenses. Applicants are responsible for confirming the applicable guidelines, application timing, registration status, and contract and payment timing.
